Welcome to Neolli. These Terms of Service ("Terms") govern your use of our AI-powered caption generation and translation service. By accessing or using Neolli, you agree to be bound by these Terms.

1. Agreement to Terms

By creating an account or using Neolli ("Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service.

These Terms constitute a legally binding agreement between you and Codemafia ("Company," "we," "us," or "our"). You must be at least 13 years old to use this Service.

2. Description of Service

Neolli provides AI-powered services for YouTube content creators, including:

Caption Generation: Automatic transcription of video audio using AI speech recognition
Caption Enhancement: AI-powered improvement of caption quality, punctuation, and formatting
Translation: AI translation of captions into 30+ languages
YouTube Integration: Direct upload of captions to your YouTube videos

3. Account Registration & Workspace Access

3.1 Account Creation

To use the Service, you must create an account using a valid email address or through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Workspaces

The Service uses a workspace model for organization. You may create workspaces and invite collaborators. Workspace owners are responsible for managing access and ensuring all members comply with these Terms.

3.3 YouTube Channel Connection

To use caption upload features, you must connect your YouTube channel via OAuth. By connecting your channel, you authorize us to:

Access your channel's video list and metadata
Upload and manage captions on your behalf
Read existing caption data for editing purposes

You may disconnect your YouTube channel at any time through your account settings.

4. Billing & Credits

4.1 Credit System

The Service operates on a credit-based pricing model. Credits are used to pay for caption generation and translation services:

Caption Generation: 20 credits per minute of video
Translation: 5 credits per minute per language

4.2 Credit Types

Credits are deducted in the following order:

Welcome Credits: Free credits for new users (expire after 7 days)
Plan Credits: Monthly allocation from your subscription (reset each billing cycle)
Bonus Credits: Purchased credit packs (never expire)

4.3 Subscriptions

Subscription plans are billed monthly and automatically renew unless cancelled. You may cancel your subscription at any time, and it will remain active until the end of your current billing period.

5. User Responsibilities

5.1 Content Ownership

You represent and warrant that you own or have the necessary rights to all videos you process through the Service. You may not use the Service to process content that you do not have the legal right to use.

5.2 YouTube Terms of Service

By using our Service with YouTube, you expressly agree to be bound by:

Your continued use of Neolli's YouTube integration features constitutes your acceptance of and agreement to be bound by YouTube's terms. You are responsible for compliance with all applicable YouTube policies when using our Service.

5.3 Prohibited Uses

You agree not to use the Service to:

Process content that violates any applicable law
Generate captions for content you do not own or have rights to
Circumvent rate limits or abuse the Service
Attempt to reverse engineer, decompile, or hack the Service
Use automated means to access the Service beyond normal API usage
Resell or redistribute the Service without authorization

6. AI-Generated Content Disclaimer

Important: All captions and translations generated by Neolli are produced by artificial intelligence. While we strive for accuracy, we cannot guarantee that AI-generated content will be 100% accurate, complete, or error-free.

You are responsible for reviewing and editing all generated content before publishing. We recommend using the approval gate feature to review captions before translation and final upload.

The Company is not liable for any errors, inaccuracies, or issues arising from AI-generated content, including but not limited to mistranscriptions, incorrect translations, or timing errors.

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to your original video content and to the captions generated for your content. We claim no ownership over your captions or translations.

7.2 Our Service

The Service, including its design, features, AI models, and underlying technology, is the exclusive property of Codemafia. You may not copy, modify, distribute, or create derivative works based on the Service.

7.3 Feedback

Any feedback, suggestions, or improvements you provide regarding the Service may be used by us without obligation or compensation to you.

8. Third-Party Services

The Service integrates with third-party services to provide its functionality. Your use of these integrations is subject to the respective third-party terms:

YouTube/Google: For video metadata and caption upload
Lemon Squeezy: For payment processing
ElevenLabs: For speech-to-text transcription
Google AI (Gemini): For caption enhancement and translation

We are not responsible for the availability, accuracy, or policies of third-party services.

9. Service Availability & Limitations

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

10. Account Termination

10.1 By You

You may delete your account at any time through your account settings. Upon deletion request, your account enters a 30-day recovery period. To restore your account, simply log in during this period and your account will be automatically restored. After 30 days, your data is permanently deleted in accordance with our Privacy Policy.

10.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that harms other users or our infrastructure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Codemafia SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Republic of Korea, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of Republic of Korea.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
